1. Acceptance of the Terms and Conditions of Use

In order for the use of the Website, which allows you to take consultations at the clinic and/or online teleconsultations with qualified health professionals (the “Website”) in a user-friendly, educational and safe context, all users are invited to read the following text carefully.

These terms of use (“Terms of Use”) are a legal agreement between the user of the Website and related services (“you”) and Clinique de Santé Voyages de Laval Inc.
operating as Clinique Priveo Santé, the owner and operator (” Priveo Santé “).
It sets forth the terms and conditions under which you may visit and use the Website, as well as all written and other materials presented on or available through the Website, including, without limitation, articles, text, photographs, images, illustrations, audio clips, video clips, software and computer code (“Content”).

By accessing and using the Website, you signify your agreement to be bound by the terms and conditions herein.
If you do not agree to these terms and conditions, you must not access or use the Website.
Priveo Santé may modify these Terms of Use at any time by updating this posting.
Your continued use of the Website following the posting of changes will mean you accept the new terms.
You should visit this page periodically to review these Terms of Use.

Terms defined in these Terms of Use are used in the Privacy Policy (the Terms of Use and the Privacy Policy are hereinafter referred to as the “Legal Notice”) of Priveo Santé. We recommend that you read it.

2. IMPORTANT NOTICE: Caution and important information, please read carefully

Use of the Website

Priveo Santé is a private medical clinic whose medical staff operate as specialized nurse practitioners and physicians who are not affiliated with the Régie de l’Assurance Maladie du Québec (RAMQ), which means that costs related to consultations and treatments are not reimbursed by the RAMQ.
However, these costs may be covered by your private insurance or another health insurance program.
It’s your responsibility to make sure this is the case.

Priveo Santé authorizes you to access and use the Website in Canada for your personal non-commercial use in accordance with the terms and conditions of these Terms of Use.
You acknowledge and agree that the Website and its Content are intended only for residents of Canada.

The Website is accessible from any computer tool (computer, smart phone, tablet, etc.) and on all browsers.

The Website is accessible at all times.
The Website may be temporarily unavailable due to updates or technical problems.
Priveo Santé is not responsible for service interruptions or updates.
Priveo Santé attempts to carry out updates when traffic on the website is at its lowest.

Priveo Santé does not warrant that the Website, or any part thereof, will operate on any particular computer hardware or peripherals.
Furthermore, the Website may be subject to malfunctions and delays inherent in the use of the Internet and electronic communications.

Priveo Santé reserves the right to add, delete and modify all or part of the Content on the Website, with the exception of your own Content.
Priveo Santé cannot be held responsible for errors, typographical errors and bugs.
You are the owner of the content you import.
Priveo Santé does not delete anything unless you request it.

Medical Emergency

Do NOT use the Website for medical emergencies.
If you have a medical emergency, call a doctor, a qualified health care professional (“a Professional”) or call 911 immediately.
You must not attempt to treat yourself based on what you have seen or read on the Website.

Content does not constitute medical advice

The Content provided on the Website is for informational purposes only and does not constitute professional medical advice, diagnosis, treatment or care, nor is it intended to replace it.

You should always seek the advice of a Professional who is duly licensed to practise medicine or administer general health care in your area about any questions you may have about Content obtained from the Website and about any medical condition that you believe may affect you or someone else.
Never disregard professional medical advice or delay a consultation because of Content you have read on the Website.
Always consult your physician or other qualified health care professional before starting any new treatment, diet, or fitness.
The Content obtained from the Website is not exhaustive and does not cover all diseases, ailments, physical disorders or their treatment.

No doctor-patient relationship

The presentation of Content on the Website does not establish a doctor-patient or qualified healthcare professional-patient relationship between you and Priveo Santé (or its Professionals), and is not intended to invite anyone to become a patient or client of Priveo Santé (or its Professionals).
This section does not apply when you use the Website to communicate with a Professional with whom you already have a doctor-patient relationship.

3. No promotion or recommendation

Except as expressly provided, Priveo Santé does not endorse or promote any specific brand of products, services, methods or other information appearing or advertised on the Website.
Product information on the Site is provided for informational purposes only.
Consult your physician if you have specific questions about the information provided.

4. Appointment without a Quebec health insurance card

Appointments without a Québec health insurance card (“card-free appointments”) are available on the Website. Cardless appointments allow you to make appointments at the clinic or by teleconsultation without having to present your Quebec health insurance card. You can choose the time and day of the appointment from those offered by the clinic. You are responsible for choosing a time when you are available.

5. Patient Portal

If you are already a patient, Priveo Santé allows you to communicate with us or your Professional by e-mail or other electronic means.
Communications that you send to Priveo Santé or your Professional, or that you receive from Priveo Santé or your Professional via e-mail or the Website, may not be secure and may be accessible to third parties.
Any use or disclosure of personal information provided by you must comply with our Privacy Policy.
Priveo Santé makes available on its Website a patient portal approved by the Ministère de la Santé et des Services sociaux, enabling you to transmit medical information.
Priveo Santé may provide you with a user name and password (“your Identifiers”) to enable you to access the patient portal on the Website.
You are solely responsible for the confidentiality and use of your Identifiers.

6. Communication by email or chat with the public

Priveo Santé does not wish to use the Website to communicate with you: (i) regarding medical issues or questions; or (ii) to establish a doctor-patient relationship.

Communications by e-mail or chat on these subjects will remain unanswered and will be deleted without being read. If you are not already a patient and wish to communicate with Priveo Santé or its Professionals or about medical issues, please do so by telephone, fax or mail in the manner indicated on the Website.

At all times, you are required to exercise discretion regarding the content of the information you disseminate via the Website, particularly with regard to personal information concerning you. Priveo Santé does not control the information you post, and such information remains the sole responsibility of its author. Messages sent via e-mail, chat or online forms are not consulted on an ongoing basis.

7. Disclaimer of Warranties

The Website and its Content are presented AS IS and AS AVAILABLE. While Priveo Santé endeavors to provide accurate, current and timely information, Priveo Santé makes no representations, warranties, conditions or undertakings, express or implied, with respect to the Web Site and its Content, including, without limitation, any representations, warranties, conditions or undertakings to the effect that: (i) the Content on, or accessible through, the Website, or any other items available on or through the Website, will be of merchantable quality and/or fit for any particular purpose; (ii) the Website or its Content will be accurate, complete, up-to-date, reliable, timely or fit for any particular purpose; (iii) the operation of the Website will be continuous or error-free; (iv) defects or errors in the Website or its Content, whether caused by human or computer error, will be corrected;(v) the Website will be free of viruses or harmful components; and (vi) communications to or from the Website will be inaccessible to third parties and/or will not be intercepted.

You acknowledge that browsing the Internet involves inherent risks, which you agree to assume at Priveo Santé. You acknowledge and agree that your access to and use of the Website and its Content is entirely at your own risk and responsibility.

8. Limitation of Liability

Priveo SantéIn no event shall the Company, its Professionals, officers, directors, shareholders, employees, agents, licensors and their respective successors and assigns be liable for any damages whatsoever, including, without limitation, direct, special, indirect, exemplary or punitive, incidental or consequential damages, including, without limitation, any loss or damage resulting in loss of business, medical loss, personal injury, tort resulting in death, improper diagnosis, inaccurate information, improper treatment or any other loss suffered in connection with your use, misuse or reliance on, or inability to use, the Website or its Content, regardless of the cause of such loss and regardless of whether it arises from contractual liability – including fundamental breach, tort – including negligence, or otherwise.
This limitation shall apply even if Priveo Santé knew of or should have foreseen the possibility of such damages.

Priveo Santé also expressly disclaims all liability for the acts, omissions and conduct of any third-party user of the Website, or any advertiser or sponsor of the Website (“Third Parties”).
Priveo SantéIn no event shall the Company, its Professionals, officers, directors, shareholders, employees, agents, licensors and their respective successors and assigns be liable for any injury, damage or loss (including any direct, special, indirect, exemplary or punitive, incidental or consequential damages) or costs arising in any way out of:
(i) the acts, omissions or conduct of any Third Party; and
(ii) any access to, use of, reliance on, or inability to use any material, content, product or service found on any website linked to the Website or available through its links, regardless of the cause of such harm, damage or loss and regardless of whether it arises in contract – including fundamental breach, tort – including negligence or otherwise.

This limitation shall apply even if Priveo Santé knew of or should have foreseen the possibility of such damages.

9. Compensation

You agree to indemnify, defend and hold harmless Priveo Santé and its Professionals, officers, directors, employees, agents, licensors and their respective successors and assigns from and against any and all claims, demands, liabilities, costs or expenses whatsoever, including, without limitation, legal fees and disbursements resulting directly or indirectly:
(i) your failure to comply with the terms of these Terms of Use;
(ii) your access to, use or misuse of the Website, your reliance on any Content available on the Website, or your inability to access the Website or its Content (or any website linked to it or which may be linked to it from time to time); or
(iii) your use of, reliance on, or publication, communication, distribution, uploading, downloading or transfer of any Content on the Web Site.

10. Intellectual property

Copyright

Unless otherwise specified herein, the Content is protected by copyright law and is the exclusive property of Priveo Santé and its licensors, or the party accredited as the provider of the Content. Except as granted in the limited license contained herein, any use of the Content, including modification, transmission, presentation, distribution, republication or other exploitation of the Website or its Content, in whole or in part, is prohibited without the express prior written consent of Priveo Santé.

Limited License

Subject to the terms and conditions of these Terms of Use, you are granted a limited, non-transferable, non-exclusive license to access, view and use the Website and its Content for your personal, non-commercial purposes. You may download, store and/or print single copies of the Restricted Content for your personal, non-commercial use, provided that you retain all copyright and other notices contained in such Content. You may not reproduce or redistribute any items included in the Online Content. You must also comply with any additional requirements governing the use of any specific Content that may be presented on the Website. In the event of a conflict between the terms of a license governing a specific Content and these Terms of Use, the terms of the specific license shall govern.

We do not share your personal information with individuals or companies outside Priveo Santé, except as indicated below:

Trademarks

Priveo SantéTM is the trademark of Priveo Santé. The names, words, titles, phrases, logos, designs, graphics, icons and trademarks displayed on the Website are trademarks of Priveo Santé or of third parties, whether registered or not. While certain trademarks of Third Parties may be used by Priveo Santé under license, the display of such trademarks on the Website does not imply any relationship or license between Priveo Santé and the Third Party that owns such trademarks, nor does it imply that Priveo Santé endorses or promotes the wares, services or processes of the Third Party that owns such trademarks.

The Website contains links to third-party websites (“External Sites”).
These links are provided for your convenience only and do not represent a recommendation or endorsement by Priveo Santé of any External Site or its content.
Unless expressly stated, Priveo Santé does not operate any External Site linked to the Website, is not responsible for the content of any such site, and makes no representations, warranties or conditions, or undertakings of any kind whatsoever with respect to any External Site, including without limitation:
(i) no representations, warranties, conditions or undertakings as to the legality, accuracy, reliability, completeness, currency or suitability of any content of such External Site;
(ii) any representations, warranties, conditions or undertakings regarding the merchantability and/or fitness for a particular purpose of any third party web site or the materials, content, software, products or services located on or available through such External Sites; or
(iii) any representation, warranty, condition or undertaking that the operation of such External Sites will be uninterrupted or error-free, that defects or errors in such External Sites will be corrected, or that such External Sites will be free of viruses or other harmful components.

While Priveo Santé encourages links to the Website, it does not wish to be linked to any External Site that contains, displays or transmits any illegal or indecent information of any kind, including without limitation:
(i) any content constituting or encouraging conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any local, state, provincial, territorial, national or international law or regulation that may be damaging or detrimental to the business, operations, credibility or integrity of Priveo Santé; or
(ii) any External Site containing, displaying or transmitting any material or information of any kind which violates or infringes upon the rights of others, including material which is an invasion of privacy or publicity rights, or which is protected by copyright, trademark or other proprietary rights.

Priveo Santé reserves the right to prohibit or refuse to accept, at any time, any link to the Website, including, without limitation, any link that contains or leads to any content or information of the foregoing nature.
Upon request from Priveo Santé, you agree to remove any link you may have to the Website.

No guarantee is given as to the authenticity of the documents available on the Internet.

12. Tenders

The Website may offer features that allow you to post messages and content in designated areas, participate in discussion groups, interact with Priveo Santé and other users, and upload files, documents and other materials (“Submission(s)”).
Submissions do not include communications between you and your physician that are part of a patient-physician relationship.
Priveo Santé does not control the content of any Submission(s) and has no obligation to monitor any Submission(s).
However, Priveo Santé reserves the right at all times to disclose any information as necessary to satisfy any law, regulation or governmental or law enforcement request, or to edit, refuse to post or refuse to remove any Submission, in whole or in part, that it deems, in its sole discretion, objectionable or in violation of these Terms of Use.

Priveo Santé is not responsible for your Submissions to the Website or for any damages resulting therefrom.
You are responsible for the content you exchange on the Website and may not use the Website for any purpose that is contrary to applicable laws in Quebec and Canada.
You acknowledge that you are solely responsible for the content of your Submissions and their consequences.

Rules of Conduct for Submissions

When you use any feature of the Website that allows you to post, upload or make Submissions, such use shall not:
(i) restrict or inhibit any other user’s use and enjoyment of the Website or interfere or attempt to interfere with the proper working of the Website or do anything that, in Priveo Santé’s sole discretion, imposes an unreasonable or disproportionately large load on the Website’s infrastructure;
(ii) post or transmit any unlawful, abusive, defamatory or obscene material of any kind, including without limitation any Submission constituting or encouraging conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any local, state, provincial, territorial, national or international law or regulation;
(iii) post or transmit any Submission, including, without limitation, articles, images, stories, software or other material, which violates or infringes upon the rights of third parties, including material which is an invasion of privacy or publicity rights, or which is protected by intellectual property rights, including, without limitation, copyright, patent, trade secret, trademark or other proprietary right hereunder, or derivative works thereof, without first obtaining the consent of the owners or rights holders;
(iv) post or transmit any Submission that contains a virus or other harmful component;
(v) post or transmit spam, chain letters, junk mail, or unsolicited mass mail;
(vi) use or “mine” the Web Site for any commercial purpose, including, without limitation, posting, uploading or transmitting any Submission that contains advertising, that results in commercial activities, solicitations or sales, or that involves contests, sweepstakes, advertising or pyramid schemes.

Grant of License to Submissions

By posting or uploading Submissions to the Website, you grant Priveo Santé a royalty-free, perpetual, non-exclusive, irrevocable, unrestricted, worldwide license to: (i) to use, reproduce, store, adapt, translate, modify, transmit, distribute, publicly perform or display such Submissions, or make derivative works therefrom, for any purpose whatsoever; and to sublicense to Third Parties the unlimited right to exercise any of the foregoing rights.

In addition to the grant of the above license, you hereby:
(i) you agree to waive all moral rights in your Submission in favor of Priveo Santé;
(ii) you agree that your name, address and e-mail address will identify you as the person who provided your Submission, if any, and you consent to the disclosure and posting of this information and any other information that appears in or is associated with your Submission;
(iii) you acknowledge and agree that Priveo Santé is not responsible for any loss, damage or corruption that may occur in connection with your Submission; and
(iv) you acknowledge and agree that your Submission is not confidential.

13. Social media

Rules of Conduct for Social Media Submissions

The following terms apply when you access a social media page, user account, website, network, or any application contained therein that has been designed and maintained by a social media platform (“Social Media(s)”)

General Statement

By using Priveo Santé ‘s Social Media pages and submitting a Submission, you (and your parent/legal guardian if you are under the age of majority in the province or territory in which you reside) agree to be bound by and comply with Priveo Santé ‘s Legal Notices and the terms of use of third-party Social Media providers.
You also consent to Priveo Santé copying, editing, publishing, translating and distributing your Submission published on a Social Media without compensation.

Social Media Terms of Use

Some of your Submissions posted on Social Media pages may not represent the views of Priveo Santé.
Accordingly, you agree not to post or submit Submissions of any kind to the Social Media pages that fall into any of the categories described below with respect to Priveo Santé:
(i) any content that is defamatory, abusive, counterfeit, obscene, misleading, illegal;
(ii) any content that otherwise violates the rights (including privacy rights) of others;
(iii) any content containing advertising;
(iv) any content containing promotional materials or any form of unwanted solicitation;
(v) any content whose origin or source is falsified;
(vi) any financial or personal information about you or any other person; and
(vii) any information that Priveo Santé deems to be in violation of the Terms of Use.

Any Submission that Priveo Santé considers to belong to one of the above categories will be deleted immediately, without any liability to Priveo Santé.

Priveo Santé disclaims all liability with respect to entities that own or operate Social Media, including for any direct or indirect loss or damage arising from any action or decision taken by you or any other person in connection with the use of Social Media websites.

14. Account creation

Registration

To use certain features of the Website, you may be required to create an account. When registering on the Website, you agree: (i) provide in any registration form true, accurate, current and complete information about yourself; and (ii) maintain and update the information without delay to ensure that it remains true, accurate, current and complete.

If Priveo Santé has reasonable grounds to believe that such information is untrue, inaccurate, not current or incomplete, Priveo Santé has the right to suspend or terminate your access to all or part of the Website. Priveo Santé ‘s use of any personally identifiable information you provide as part of the registration process is governed by the Privacy Policy.

Passwords

You are responsible for maintaining the confidentiality of the password associated with your account, and are fully responsible for all activities that occur under your Identifiers. You agree to notify Priveo Santé immediately of any unauthorized use of your password or account or any other breach of security, and to exit from your account at the end of each session. Priveo Santé will not be liable for any loss or damage arising from its failure or your failure to protect your password or account information.

15. Security

You acknowledge and accept that browsing the web involves inherent risks and that computer and telecommunications systems are not fault-free and may cause interruptions in service. Priveo Santé cannot guarantee that the service and/or access to the Website will operate in an uninterrupted, regular, secure or error-free manner, or that no loss of data will occur.

In addition, Priveo Santé cannot guarantee the security of our databases or the confidentiality of any communication to or from the Website, nor can we promise that the information you provide will not be intercepted as it is transmitted to us over the Internet. To the extent permitted by law, you are solely responsible for any damage to your computer system or loss of data that results from downloading material from the Website or otherwise.

16. Modification of the Website

Priveo Santé reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Website (or any part thereof), with or without notice.
Priveo Santé shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Website or any part thereof.

17. Prohibited use when contrary to law

You may not use the Website in any jurisdiction where the Website or any of its Content may violate any laws or regulations.
You agree not to access or use the Website in any such jurisdictions.
You agree that you are responsible for compliance with all applicable laws and regulations.
Any violation of this provision – or any provision of these Terms of Use – is entirely at your own risk.

18. Language

In the event of any discrepancy in definition or interpretation between the French and English versions of these Terms of Use, the French version shall prevail.

19. Convention on implementing legislation and jurisdiction

The Website is operated by Priveo Santé from its offices within the Province of Quebec, Canada.
You agree that all matters relating to your access to, or use of, the Website and its Content shall be governed by the laws of Quebec and the laws of Canada applicable therein, without regard to conflict of laws rules.
You hereby agree to submit to the exclusive and paramount jurisdiction of the courts of Quebec in the judicial district of Laval with respect to all matters relating to your access to and use of the Website and the Content, and with respect to any dispute that may arise with respect to such matters, and you agree that the applicable law shall be the laws of Quebec and the laws of Canada.

20. Waiver

Any consent by Priveo Santé to or waiver by Priveo Santé of any breach by you of these Terms of Use, whether express or implied, shall not constitute consent to or waiver of any other or subsequent breach.

21. Divisibility

The invalidity or unenforceability of any provision of these Terms of Use or any covenant contained herein shall not affect the validity or enforceability of any other provision or covenant contained herein, and any invalid provision or covenant shall be deemed severable from the remainder of these Terms of Use.

22. Cancellation

Priveo Santé may, in its sole discretion, cancel or terminate your right to use the Website, or any part thereof, at any time, without notice.
In the event of termination, you are no longer authorized to access the Web Site or the portion of the Web Site affected by such cancellation or termination.
The restrictions imposed on you with respect to any Content downloaded from the Website and the disclaimers and limitations of liability contained in these Terms of Use shall survive any termination of these Terms of Use.
Priveo Santé shall not be liable to any party for such termination.

23. Full agreement

These Terms of Use constitute the entire agreement between you and Priveo Santé relating to your access to and use of the Website.
